SUITEBOARD — TERMS OF SERVICE

Subject to your continued compliance with this Agreement and payment of applicable fees, Suiteboard grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use the Platform solely for your internal business and professional productivity purposes.

You shall not, and shall not permit any third party to:

• Commercial Exploitation: Sublicense, resell, rent, lease, or commercially exploit the Platform features to third parties;
• Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Platform or its AI Agents;
• Competitive Use: Use the Platform to build a competing product or service, or to train external artificial intelligence or machine learning models;
• Misuse: Use the Platform for any illegal purpose, to harass others, or to violate the rights of third parties;
• Security Violation: Interfere with or disrupt the integrity or performance of the Platform, or attempt to gain unauthorized access to the Platform or its related systems.

To use the Platform, you must:

• Provide accurate, current, and complete registration information;
• Maintain the confidentiality of your login credentials;
• Be at least 18 years old to form a binding business contract;
• Notify us immediately of any unauthorized use of your account.

You are solely responsible for all activity that occurs under your account. Suiteboard is not liable for any loss or damage arising from your failure to safeguard your credentials.

The Platform utilizes artificial intelligence ("AI") to provide insights, workflow automation, and "Department Agents."

4.1 No Professional Advice

The Platform provides information and operational suggestions, not professional advice. The Outputs are not:

• Legal, tax, or accounting advice;
• Financial investment advice;
• Compliance or regulatory guarantees.

You must independently verify all AI-generated strategic, financial, or operational decisions with qualified professionals (CPAs, Attorneys, etc.).

4.2 AI Probabilistic Nature

You acknowledge that AI systems are probabilistic and may:

• Produce inaccurate, outdated, or "hallucinated" outputs;
• Misinterpret data inputs;
• Generate speculative assumptions based on partial data.

Suiteboard does not guarantee the accuracy, completeness, or reliability of any AI Output.

4.3 Ownership of Outputs

Subject to your compliance with this Agreement, Suiteboard assigns to you all right, title, and interest in and to the final specific Outputs generated by the Platform for you. However, you acknowledge that due to the nature of AI, the Platform may generate the same or similar output for other users. You have no exclusive right to the underlying AI patterns, generic workflows, or the structure of the Insights.

5.1 Authorization & Access Scope

By connecting third-party services (e.g., QuickBooks, Stripe), you grant Suiteboard permission to access, read, and retrieve data from those services to the extent permitted by the API scopes you authorize. You acknowledge that to function, the Platform may require broad "read" access to your connected accounts, even if the Platform only utilizes specific subsets of that data for analysis.

5.2 Google Limited Use Policy (Compliance)

BeProEx's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

We do not use data obtained through Google Workspace APIs to develop, improve, or train generalized AI models that are shared across our customer base without your explicit consent.

We do not transfer this data to third parties for advertising purposes.

5.3 Financial Data Sensitivity

You acknowledge that connecting Financial Integrations (e.g., QuickBooks, Stripe) involves the processing of sensitive financial data. While Suiteboard utilizes industry-standard encryption and SOC 2–aligned controls, no transmission over the internet is completely secure. You assume the risk of transmitting such data.

5.4 No Liability for Third-Party Services

Suiteboard is not responsible for:

• Downtime, API changes, or data corruption originating from the third-party provider;
• The accuracy of the data imported from your integrations;
• Any fees charged to you by third-party services.

5.5 Scope of AI Analysis

You understand that the Platform's AI agents analyze summaries, key performance indicators (KPIs), and data snapshots retrieved from your integrations, rather than performing a real-time, comprehensive audit of every historical transaction or line item. AI insights may not reflect data that was not retrieved during the most recent snapshot or that falls outside the specific metrics analyzed by the Agent. You are responsible for cross-referencing AI insights with your source documents (e.g., your actual QuickBooks ledger).

6.1 Ownership of User Content

You retain all ownership rights to the data, text, files, and information you upload or connect to the Platform ("User Content").

6.2 License to Suiteboard

By using the Platform, you grant Suiteboard a worldwide, non-exclusive, royalty-free license to access, host, process, and display your User Content solely for the purpose of providing, maintaining, and improving the Service for you.

6.3 Service Improvement & Aggregation

Suiteboard may use aggregated, anonymized data (stripped of all personal and company-identifying information) to analyze system performance, improve AI model efficacy, and generate industry benchmarks. We will never share your raw identifiable data with other users.

Subscriptions: You agree to pay all fees in accordance with the pricing plan selected.

Billing: Fees are billed on a recurring basis (monthly or annually) in advance.

Cancellation: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial periods.

Changes: We reserve the right to modify pricing with 30 days' notice.

All rights, title, and interest in the Platform, including software, UI/UX, proprietary AI agents, trademarks, and system architecture, remain the exclusive property of Suiteboard and its licensors.

9.1 Security Controls

Suiteboard implements administrative, physical, and technical safeguards designed to protect your data, aligned with AICPA SOC 2 standards.

9.2 Confidentiality

Suiteboard will treat your User Content as Confidential Information and will not disclose it to third parties except:

• As required to provide the Service (e.g., to cloud hosting providers under strict confidentiality);
• As compelled by law or court order.

Suiteboard may suspend or terminate your access immediately if:

• You breach this Agreement;
• You fail to pay fees;
• We are required to do so by law or third-party provider policies (e.g., OAuth revocation).

Upon termination, your license ends immediately. We may delete your data in accordance with our retention policy, generally 30 days post-termination.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUITEBOARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND DATA ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL YIELD SPECIFIC BUSINESS RESULTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUITEBOARD SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES;
• ERRORS OR HALLUCINATIONS PRODUCED BY AI AGENTS.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SUITEBOARD IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Suiteboard, its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising out of:

• Your violation of this Agreement;
• Your User Content or use of Integrations;
• Your reliance on or application of AI-generated advice in your business.

14.1 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Binding Arbitration

Any dispute arising under this Agreement shall be resolved by binding arbitration conducted by JAMS or the American Arbitration Association (AAA) in accordance with their commercial rules.

14.3 Class Action Waiver

YOU AND SUITEBOARD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the Platform.

Severability: If any provision is held invalid, the remaining provisions shall remain in full force.

No Waiver: Failure to enforce any right does not constitute a waiver.

Updates: We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance.
